An exhaust heat recovery system 50 comprises an exhaust heat recovery heat exchanger 18 for making heat exchange between engine cooling liquid for cooling an internal combustion engine 12 and exhaust gas from the internal combustion engine 12, and a heat pump system 52 for recovering the exhaust heat of the exhaust gas from the internal combustion engine 12. The heat pump system 52 includes a refrigerant circuit 24 for circulating CO2 refrigerant, a heat absorbing side heat exchanger 32 for making heat exchange between the CO2 refrigerant and the exhaust gas, and a heat releasing side heat exchanger 54 for recovering the exhaust heat that the CO2 refrigerant recovers with the heat absorbing side heat exchanger 32.
