A heat-insulating composite sheet 1 has a filler 2 which is made of a foamed sheet, fibers, a porous material or particles and having a density of 0.005 to 1 g/cm3 and which is located in a sealed package bag 3 made of a flexible sheet, and has micro pores having a diameter of 1 nm to 1 mm, being preferably depressurized or vacuumed in the inside thereof. This composite sheet 1 is highly heat-insulatable, and is strong against the compression, and accordingly, can exhibit a satisfactory heat-insulation which is prevented from being deteriorated with time. Thus, it can be optimumly used for a building material or a packing material.
