To achieve thin-sizing in an optical axis direction, regarding a light quantity adjusting device and an imaging apparatus.
A second separator 93, having a transmission hole 93a and positioned opposite to a cover plate 91 across a first separator 92, is attached to a base body 88 by: inserting at least a part of the outer circumference of the second separator 93 to an attachment groove 89d of the base body 88; then positioning the second separator closer to a second light quantity adjusting blade 98 than the through-hole 90a of the base body which is formed to have a diameter larger than that of the transmission hole of the second separator; and positioning the transmission hole inside the through-hole 90a.
