The transmission 10 with the heat exchanger is provided with the heat exchanger 20 for heat exchanging between oil of the transmission and engine cooling water. A shift cable 42 of a part of the shift operating system 40 of the transmission is arranged through a predetermined space position near outside the heat exchanger. The part of the shift operating system 400 is the shift cable 42 provided with a cable 42B in a tubular member 42A.
