To provide a zoom lens in which space for inserting an ND filter, an iris diaphragm, a mechanical shutter, etc., into an optical path is assured enough, while attaining miniaturization and lightweight of a lens group which adjusts the displacement of an image which is to be generated, when an optical system is vibrated, and with which the simplification on mechanism is attained, and an imaging apparatus having the same.

In a zoom lens which possesses, in the order starting from the object side to an image side, a 1st lens group L1 of positive refracting power, a 2nd lens group L2 of negative refracting power, a 3rd lens group L3 of positive refracting power and a 4th lens group L4 of positive refracting power, and which performs zooming by changing intervals among respective lens groups, the 3rd lens group is constituted of, in the order starting from the object side to the image side, a 3rd-a lens group L3a of negative refracting power, an aperture diaphragm SP; and a 3rd-b lens group L3b and the 3rd lens group L3 is characterized in that a surface positioned on the most object side of the 3rd-a lens group L3a is concave shape; and the interval between the 3rd-a lens group L3a and the 3rd-b lens group L3b is the widest in the 3rd lens group L3, and the 3rd lens group displaces the image by making the 3rd-b lens group L3b move so as to have the components of a direction vertical with respect to the optical axis.
