A fluidized bed apparatus and a method for preparing polymethoxy dimethylether from methylal and paraformaldehyde. The fluidized bed apparatus comprises a gas inlet (301), gas distributors (302-1, 302-2, 302-3), catalyst filling ports (303-1, 303-2, 303-3), a gas outlet (305), a fluid inlet pipe (304), catalyst discharging ports (308-1, 308-2, 308-3), a bottom component (307) and inter-sectional components (311-1, 311-2), a gas rising channel (309) of the bottom component, gas rising channels (312-1, 312-2) of the inter-sectional components, a fluid outlet (310), a downcomer (306-1) and inter-sectional downcomers (306-2, 306-3). The process for preparing polymethoxy dimethylether by using the apparatus comprises: introducing a fluidized gas from the gas inlet (301) through the gas rising channel (309) of the bottom component and the gas distributors (302-1, 302-2, 302-3) to a bottom bed layer, the gas rising to the gas outlet (305) and leaving from the fluidized bed; and introducing paraformaldehyde and methylal into the fluidized bed layer from the fluid inlet, the liquid descending to the fluid outlet (310) and leaving from the fluidized bed.
