Provided is a rubber composition with which it is possible to improve fuel efficiency, wet-grip performance and dry-grip performance in a balanced manner. Also provided is a pneumatic tire using said composition. The present invention is a rubber composition containing a rubber component and silica, and of the 100mass% of the aforementioned rubber component, has constitutional units based on conjugated diene and constitutional units represented by formula (1) below, and the content of conjugated diene polymer obtained by modifying at least one end of a polymer by a specific compound is at least 5 mass%. The aforementioned silica has an average length w1 between branched particles Z -Z, including branch particles Z themselves, of 30 to 400nm, where a particle having three or more adjoining particles is treated as a branched particle (Z). The silica content with respect to 100 parts by mass of the rubber component ranges from 5 to 150 parts by mass.
