Disclosed is a magnesium-base composite powder as a starting material for producing an Mg₂Si particle-dispersed magnesium-base composite material. Such a magnesium-base composite powder comprises an Mg-base powder (7) as the main component for constituting the base material of a magnesium alloy and Mg₂Si particles adhered to the surface of the Mg-base powder (7) with a binder (9).
