A soft and impermeable sheet 2 of excellent sound insulation which is mixed with a high specific gravity substance in soft resin, and a plywood 1 are stuck together so as to form the sheet 2 of a base material. A water soluble adhesive 3 layer is formed on the sheet 2 surface, and wooden powder 4 is scattered on the water soluble adhesive 3 layer. A wet type decorative veneer 5 is stuck on the sheet 2 surface through the water soluble adhesive 3 layer and the wooden powder 4. The wooden powder 4 absorbs the water content of the water soluble adhesive 3, the water soluble adhesive 3 is apt to dry, hence the adhesive strength is improved, and the wet type decorative veneer 5 is hardly peeled off.
