This device for form-rolling a sheet-like material 3 to be rolled which is formed of a metallic or a synthetic-resin base stock is provided with: a die member 7 in which an irregular pattern 5 to be rolled to the material 3 is provided on its surface; a conveying means 9 for conveying the material 3 in the state where the material 3 is mounted onto the surface of the die member; a pressing means 13 by which the material 3 mounted onto the die member is pressed; a driving means for driving the pressing member; and a moving means for moving the conveying means to be linked with the driving means.
