PURPOSE: To prevent the variance of the response speed and the distrubance of orientation of a liquid crystal due to an external pressure, by making the second spacer member, which is arranged in a sealing member, larger than the first spacer member mix in the sealing member.

CONSTITUTION: The second spacer member 5 having a diameter of 6W15μm are arranged in peripheral parts of electrode plates 1 and 2 where transparent electrodes 9 and 9' having prescribed shapes are formed on substrates 8 and 8' by patterning, and a sealing member 3 where the first spacer member 4 whose diameter is smaller than the average diameter of spacer member 5 by 0.5W2.0μm mixed in the sealing member 3 is arranged on the outside of the spacer member 5. Thus, the thickness of a liquid crystal layer and an electrochromic layer without variances, and an optical cell having a uniform interval is obtained.
