A vibration-damping sheet consists of a resin composition containing 100 pts.wt. chlorine type polymer material with a chlorine content of 20-70 wt.%, 50-300 pts.wt. chlorinated paraffin with a mean carbon number of 12-50 and a chlorine content of 30-65 wt.% or mixture of a chlorinated paraffin with a mean carbon number of 12-16 and a chlorine content of 30-65 wt.% and a chlorinated paraffin with a mean carbon number of 20-50 and a chlorine content of 30-65 wt.% and 1-20 pts.wt. rosin compound. A transparent soundproofing body is prepared by providing a transparent hard member on at least a part of each of both faces of the vibration-damping sheet.
