The present application provides an audio processing apparatus and a terminal device. The audio processing apparatus comprises a codec chip, a gain amplifier, and a headphone socket. The codec chip comprises a first power amplifier and a second power amplifier, and the headphone socket comprises a headphone socket grounding pin, wherein a first input end of the first power amplifier is connected to the gain amplifier, an output end of the first power amplifier is connected to the headphone socket, and a second input end of the first power amplifier is used for receiving an analog audio signal; a first input end of the second power amplifier is connected to the gain amplifier, an output end of the second power amplifier is connected to the headphone socket, and a second input end of the second power amplifier is used for receiving the analog audio signal; and the headphone socket grounding pin is connected to the gain amplifier. According to the technical solution of the present application, crosstalk between the left earphone and the right earphone can be reduced, and the stereo playback effect of the headphone is improved.
