A transparent rubber-modified aromatic vinyl copolymer resin composition that is excellent in impact strength and practical properties; and a process for producing the same. In particular, a transparent rubber-modified aromatic vinyl copolymer resin composition containing soft dispersed particles of 0.3 to 3.0 μm average particle diameter, obtained by polymerizing an aromatic vinyl compound and at least one (meth)acrylic acid alkyl ester compound in the presence of a rubbery polymer, wherein the rubbery polymer is a styrene-butadiene block copolymer and exhibits (1) a molecular weight distribution (Mw/Mn), expressed as a ratio of weight average molecular weight (Mw) to number average molecular weight (Mn), exceeding 1.4 but not greater than 2.5 and (2) a glass transition temperature of -85 to -40ºC; and a process for producing the same.
