To obtain the subject composition comprising a polyacetal resin, a core shell polymer and a polyethylene resin, holding the mechanical and physical properties of the polyacetal resin, excellent in vibration-damping characteristics, exhibiting a flowability-maintaining effect, and useful for preventing the vibration of household electric appliances, etc.

This vibration-damping polyacetal resin composition comprises (A) 64-15wt.% (based on the whole weight of the composition) of a polyacetal resin, (B) 35-65wt.% of a core shell polymer having the core of a rubbery polymer and the shell of a glassy polymer (e.g. a polymer produced from methyl methacrylate as a main component) (preferably a polymer not containing an anion and obtained by emulsion-polymerization in the presence of a nonionic surfactant and a polymerization initiator generating a neutral radical), (C) 1-20wt.% of a polyethylene resin such as an ethylene-(1-4C)alkyl acrylate copolymer and, if necessary, (D) 0-5wt.% of an oil such as a saturated aliphatic ester, an aliphatic hydrocarbon or a silicone oil.
