The electrooptical apparatus is provided with a light shielding film 23 formed on a counter substrate 20 and demarcating a plurality of pixels which constitute an image display region 10a in a plane view on the counter substrate 20. The counter substrate 20 includes a layered body part 20a formed by sequentially layering first, second and third layers 210, 230 and 200 which constitute a first inclined interface 220a inclined to a liquid crystal layer 50 so that an optical path of incident light toward the light shielding film 23 is bent to each center side of each of the plurality of pixels and a second inclined interface 220b inclined to the liquid crystal layer 50 so that the optical path bent by the first inclined interface 220a is re-bent in a direction perpendicular to the liquid crystal layer 50 in a region opposed to the light shielding film 23.
